These Seller Terms (the “Seller Terms”) form a contract between Say Adios LLC (“Adios,” “we,” “us,” or “our”) and you (“you,” “Seller”) when you provide items to Adios for resale, donation, recycling, or disposal. The Adios Terms of Use (the “Terms of Use”) and Privacy Policy are incorporated by reference. Capitalized terms used but not defined here have the meanings in the Terms of Use. If there is a conflict between these Seller Terms and the Terms of Use regarding resale/payouts, these Seller Terms control.

1) How It Works (Overview)
Bag & Pickup. You purchase or redeem a plan/add-on, we deliver an Adios Bag (≈50 lb capacity) to you, you fill it, and we pick it up.
Routing. We evaluate items and route each to the best path in our discretion: resale, donation, recycling, or responsible disposal.
Resale & Payouts. If an item sells, we calculate your payout from Net Sale Proceeds (defined below) and pay your share on our regular schedule. No sale is guaranteed.
No returns of items. Adios generally does not return items once picked up (see §4 and §7).
2) Key Definitions
Property: All items you provide to Adios.
Adios Bag: Our bag or container we deliver to you.
Listing: Any resale listing we create (online/offline/partner).
Net Sale Proceeds: Gross sale price actually received for an item minus third-party marketplace/platform fees, payment processing fees, shipping/handling/packaging, refurbishment/cleaning, authentication/testing, photography, storage/logistics, taxes/levies we pay on the sale, discounts, returns, and other direct costs of sale.
3) Title, Custody & Risk of Loss
Title transfer. Title to all Property transfers to Adios at pickup (when our driver or agent takes possession). From that moment, Adios may resell, donate, recycle, or dispose of items in its sole discretion.
No return obligation. After pickup (and title transfer), items will not be returned to you, except if Adios separately agrees in writing (fees may apply).
Risk of loss. You are responsible for the Property until pickup. After pickup, Adios bears risk for the Property in our custody, subject to these Seller Terms.
4) Acceptance, Prohibited Items & Data on Devices
Our discretion. We may accept or reject any Property and choose the routing (resale/donation/recycle/disposal) at our sole discretion, including bundling items or selling in bulk/outlet channels.
Condition. You agree items are clean, safe, and lawful to handle. We may do light cleaning or prep as needed.
Prohibited/Hazardous. Do not include hazardous materials (e.g., chemicals, fuels, pressurized containers), weapons, perishable or biomedical waste, illegal items, or anything prohibited by law or our posted acceptance list. We may refuse, reroute, or dispose of prohibited items and charge related costs.
Electronics & data. Factory-reset/wipe devices before pickup. You are solely responsible for any personal data left on devices. Adios is not responsible for data not removed by you.
5) Pricing, Listings & Sale Channels
Pricing & channels. Listing prices may be set or adjusted by Adios based on brand, quality, demand, seasonality, and channel. We may list on third-party platforms, consignment partners, wholesale/bulk programs, live sales, or local outlets.
Discounts & promotions. Items may sell with discounts/coupons/platform promos. Your payout is based on actual Net Sale Proceeds.
No guaranteed timeframe. We do not guarantee a listing window or sale timeline. Unsold items may be re-routed to donation, recycling, or disposal without payout.
6) Payouts (Earnings)
Split. By default, the resale share is 50% to you / 50% to Adios of Net Sale Proceeds (unless a different split is explicitly stated in your plan or a written agreement).
When paid. We batch payouts (e.g., monthly) after (i) funds settle, (ii) any partner return window closes, and (iii) fraud/chargeback risk is reasonably cleared.
Method & threshold. Payout via the method offered (e.g., ACH/Venmo/credit). We may require a minimum payout threshold (e.g., $25) and valid payment details. Uncashed payouts may be subject to escheatment or handling per applicable law.
Returns/chargebacks. If a sale reverses (return, fraud, chargeback), we may reverse or deduct the related payout or offset it from future earnings.
Set-off. We may set off any amounts you owe (fees, damage, hazardous disposal costs) against payouts.
Taxes. You are responsible for your own taxes. We may require tax forms (e.g., W-9) and may report payments as required by law.
7) Refunds, Cancellations & Missed Pickups (Buyer Side vs. Seller Side)
Refunds of your plan/bag purchase. You may **cancel for a full refund any time before our fleet has delivered your Adios Bag to your address. Once your bag is delivered, refunds are not available.
No-cost orders. If you redeemed a 100% promo (no-cost order), there is no payment to refund.
Cancellations/rescheduling of pickup. You can reschedule via our channels subject to availability. We may charge a missed-pickup or late-cancellation fee where disclosed.
After pickup. After we pick up your filled bag, title has transferred and items will not be returned.
8) Donations & Donation Acknowledgments
We prioritize reuse in the Austin community. When feasible, we may obtain a donation acknowledgment from a nonprofit partner; however, donation receipts are not guaranteed, may be aggregated, and may not reflect fair market value of each item. Availability and timing vary by partner.
9) Counterfeit, Stolen, and Restricted Items
You are responsible for ensuring Property is authentic and lawfully owned. If we reasonably believe an item is counterfeit, stolen, or otherwise unlawful, we may refuse, retain, or destroy it consistent with law, and we may cooperate with brands or law enforcement (including sharing your contact info and related records). You won’t receive a payout for such items and may be liable for associated costs.
10) Your Representations, Warranties & Indemnity
You represent and warrant that:
You have good and marketable title to the Property and the right to transfer it;
The Property is not encumbered by liens or claims;
The Property is authentic, not stolen, and lawful to sell/donate/recycle/dispose;
Providing the Property does not violate anyone’s IP, privacy, or other rights; and
You will not include prohibited/hazardous items and will wipe data from devices.
You agree to defend, indemnify, and hold harmless Adios and our personnel from claims, losses, and costs (including reasonable attorneys’ fees) arising from your breach of these Seller Terms or your warranties, your Property (including prohibited items or data left on devices), or your violation of law or third-party rights.
11) Communications & Records
You consent to receive operational and payout communications electronically (email/SMS). Keep your contact and payout info current. We may retain operational records as permitted by law.
12) Disputes About Payouts or Routing
If you dispute a payout calculation or routing decision, contact support@sayadios.com within 30 days of the related statement or notice. We’ll investigate in good faith. We may withhold disputed amounts until resolved. The Terms of Use dispute-resolution provisions (AAA arbitration, class-action waiver, Texas law, one-year limit) govern any unresolved disputes.
13) Fees & Adjustments
We may assess reasonable fees disclosed in the Services or order flow, including but not limited to missed-pickup, hazardous handling/disposal, device destruction for non-wiped electronics, special access attempts, damaged/unreturned Adios bags, or return shipping (if we separately agree to return items). We may offset fees against payouts.
14) No Bailment; No Warehousing
Adios is not a warehouse or bailee for hire. We do not provide insured storage services. After title transfer, we may hold, process, list, donate, recycle, or dispose of items at our discretion.
15) Term; Changes; Termination
These Seller Terms apply while you provide Property to Adios. We may update them at any time; updates are effective upon posting the new “Last updated” date. We may terminate or suspend participation (e.g., for policy violations, safety, fraud risk). Sections that by nature should survive (e.g., title transfer, indemnity, set-off, dispute resolution) do survive.
16) Incorporation; Governing Law; Venue; Arbitration
The Terms of Use and Privacy Policy are incorporated by reference. These Seller Terms are governed by Texas law (without regard to conflict rules). Disputes are subject to the Dispute Resolution & Arbitration section of the Terms of Use (AAA arbitration, individual basis only, small-claims carve-out, one-year limitations period), with venue in Travis County, Texas where applicable.
